Wholesale Terms and Conditions for Kallai.se

Effective Date: May 1, 2026 These Wholesale Terms and Conditions ("Terms") govern all purchases of products and services from Kallai.se ("Kallai," "we," "us," or "our"), a limited liability company organized under the laws of the Sweden, by wholesale buyers ("Buyer," "you," or "your") through our online platform. By placing an order on our website (the "Site"), you agree to be bound by these Terms. If you do not agree, do not place an order.

These Terms apply exclusively to wholesale purchases and supersede any prior 
agreements. We reserve the right to update these Terms at any time; continued use of the Site constitutes acceptance of changes. 

1. Eligibility and Account Registration

To qualify as a wholesale Buyer, you must:

  • Be a valid business entity (e.g., retailer, distributor, or practitioner) with a valid business license and/or tax ID.
  • Complete our wholesale application and approval process.
  • Agree to purchase exclusively through the Site for online orders only; no in-person or phone orders are accepted.

We reserve the right to approve, deny, or terminate wholesale accounts at our discretion. All purchases are for resale purposes only; end-user sales are not permitted under these Terms.

2. Orders and Ordering Process

  • Online Only: All orders must be placed via the Site. Log in to your approved wholesale account, select products, and proceed to checkout.
  • Minimum Order Quantity (MOQ): Orders must meet a minimum value of €250 or 2500 SEK (or equivalent in supported currencies) to qualify for wholesale pricing.
  • Order Confirmation: Upon submission, you will receive an email confirmation. Orders are non-cancelable once confirmed, except as provided in these Terms.
  • Automated Discounts: All applicable wholesale discounts, including volume-based or promotional discounts, are automatically applied at checkout based on your account tier and order details. No manual adjustments are permitted.

3. Products and Services

Kallai offers a range of products (e.g., [insert product categories, such as wellness or educational materials]) for wholesale purchase, along with bundled services:

  • Online Product Education: Self-study access to digital courses and materials provided via the Site upon approved registration. Access is granted for one year from the date of registration.
  • Monthly Live Calls: Participation in monthly live Q&A sessions (via video conference) covering product usage and business topics. All sessions are recorded and made available to registered Buyers for 30 days post-event. Attendance is at your discretion; no refunds for missed sessions.

All products and services are described on the Site. We strive for accuracy but reserve the right to correct errors or discontinue items without notice.

4. Payment Terms

  • Pre-Payment Required: All orders require full pre-payment via accepted methods (e.g., credit card, ACH transfer, or wire). No net terms (e.g., Net-30) are offered.
  • Currency and Taxes: Prices are in Euro or SEK for Europe. You are responsible for all applicable taxes, duties, and fees, including import/export duties for international orders.
  • Payment Processing: Payments are processed securely through the Site. 
  • Refunds: See Section 6 for limited refund conditions.

Sample Clause (adapted from standard practices): "All payments are due in full at the time of order placement. Accepted methods include Visa, MasterCard, and bank transfer. By placing an order, Buyer authorizes Kallai to charge the provided payment method."

5. Shipping and Delivery

  • Shipping Costs: Calculated at checkout and added to the order total. We offer worldwide shipping via reputable carriers (e.g. FedEx, DHL etc).
  • Delivery Times: Estimated 7-14 business days domestically; 10-30 business days internationally, depending on product, location and customs. Delays due to carrier issues, weather, or customs are not our responsibility.
  • Risk of Loss: Title and risk of loss pass to you upon delivery to the carrier. We ensure shipments with 1,5% cost on your purchased order value.
  • International Sales: For international orders, you are responsible for compliance with local import laws, customs clearance, and any restrictions. We do not guarantee delivery to sanctioned countries or areas with prohibited goods.
  • Damaged Packages: You must inspect packages upon receipt. If external damage is visible:

The Buyer shall examine the Goods as soon as possible and no later than 7 days after delivery/arrival at the agreed destination (in accordance with the applicable Incoterm). The examination shall cover quantity, packaging, visible damage and obvious defects. Any discrepancies or defects must be noted immediately on the carrier’s delivery note or consignment note and reported in writing to the Seller (with photos and supporting documents) within [5 business days] for visible defects and within [14–30 days] for hidden defects.

Failure to inspect and notify within these periods means the Buyer is deemed to have accepted the Goods and loses the right to claim. The Buyer must allow the Seller (or its representative) to inspect any claimed defective Goods before any return or remedy is granted.

Failure to follow these steps may void any claims. We will assist with carrier coordination but are not liable for carrier-related damages. We are not responsible for concealed damage discovered after signing for the shipment without notation. Sample Clause (adapted): "Buyer shall immediately inspect all deliveries for shipping damage. If damage is noted, Buyer must document via photos, note it on the carrier's receipt, retain packaging, and contact the carrier within 24 hours to initiate a claim. Buyer shall cooperate with Kallai.se and the carrier in the inspection process."

IN SHORT:

  1. Note the damage on the delivery receipt before signing.
  2. Document the damage with photographs and videos of the exterior packaging and
  3. Save all packaging and contents for inspection.
  4. Immediately contact the shipping carrier (using their claim process) to file a claim and request an inspection within 24-48 hours of delivery.
  5. Notify us via email (support@kallai.se) with documentation within 48 hours. 

6. Returns, Refunds, and Warranties

  • General Policy: All sales are final except for defective products as defined below. No returns for buyer's remorse, incorrect sizing (if applicable), or change of mind.
  • Defective Products: If a product arrives defective (e.g., manufacturing error, not damaged in transit), you may request a replacement or refund within 14 days of receipt, subject to verification.

Documentation Required: You must provide clear photographs and a video (e.g., unboxing and demonstrating the defect) of the product in its original packaging, showing the defect from multiple angles. Email all media to support@kallai.love with your order number.

We will review within 5 business days and approve/deny based on evidence. Approved returns must be shipped back (prepaid by us if defect confirmed) to our designated address.

Restocking fee: None for verified defects; 15% for unverified or misuse-related issues.

  • Non-Defective Returns: Not accepted. Services (education and calls) are non-refundable once accessed.
  • Warranty: Products carry a 30-day limited warranty against manufacturing defects. This does not cover misuse, normal wear, or improper storage. No implied warranties beyond this.

Returns are authorized only after manual review to validate the claim, preventing fraudulent requests."

7. Discounts and Pricing

  • Wholesale pricing is tiered based on order volume and account history, automatically applied at checkout or upon agreement with sales representation and our support.
  • Prices are exclusive of shipping, taxes, and duties. We reserve the right to adjust prices with 30 days' notice.
  • No additional negotiations; all terms are as displayed on the Site.

8. Intellectual Property and Confidentiality

  • All product education materials, recordings, and branding are proprietary to Kallai. You may not reproduce, distribute, or use them outside the resale of purchased products.
  • Maintain confidentiality of any pricing or business information shared.

9. Limitation of Liability

To the fullest extent permitted by law, Kallai's total liability shall not exceed the purchase price of the affected order. We are not liable for indirect, consequential, or incidental damages, including lost profits. This applies globally.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of Sweden, without regard to conflict of laws principles. Any disputes shall be resolved exclusively in the court of Ulricehamn, Sweden.

11. Force Majeure

We are not liable for delays due to events beyond our control (e.g., pandemics, strikes, natural disasters).

12. Miscellaneous

  • Severability: If any provision is invalid, the remainder remains in effect.
  • Entire Agreement: These Terms constitute the full agreement.
